Terms of Service

These Terms of Service govern your access to and use of the ArchieGuru website, application, practice workspace, AI-assisted features, and any related paid or free services.

1. Operator and service scope

These Terms of Service (“Terms”) form a binding agreement between you and Piotr Staśkiewicz, ul. Bażantowa 1A, 55-002 Kamieniec Wrocławski, Poland, NIP PL8971852419, hereinafter referred to as “ArchieGuru”. By creating an account or using the Service, you agree to be bound by these Terms and the Privacy Policy, which is incorporated by reference.

Purchases of paid plans and in-product units are sold and invoiced by ArchieGuru's payment and subscription provider acting as merchant of record. The merchant of record is responsible for transaction processing, invoicing, and applicable sales tax or VAT, and its terms apply to the purchase transaction itself in addition to these Terms.

The “Service” includes the ArchieGuru website, account system, practice workspace, AI-assisted features, paid plans and in-product units, waitlist forms, and related support.

If you use the Service as a consumer, mandatory rights granted by applicable consumer law continue to apply and prevail over these Terms where required.

2. Eligibility and accounts

You must be at least 16 years old to use ArchieGuru. By using the Service, you represent that you meet this minimum age and have the legal capacity to enter into these Terms.

You are responsible for maintaining the confidentiality of your account credentials, for activity occurring through your account, and for ensuring that the information you provide is accurate and current.

3. Acceptable use

You may use ArchieGuru only for lawful purposes and in compliance with these Terms.

You may not:

  • use the Service to violate law, infringe intellectual property, or misuse another person's data;
  • attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts or data;
  • reverse engineer, scrape, overload, disrupt, or interfere with the Service except as allowed by mandatory law;
  • submit malware, harmful code, or abusive automated traffic;
  • use ArchieGuru to generate or process material you are not entitled to share; or
  • submit sensitive personal data, secrets, credentials, or regulated production data into the Service unless you are fully authorized to do so and accept the related risk.

Reporting illegal content. If you believe content made available through the Service is illegal under applicable law, you can submit a notice to [email protected] describing the content, where it can be found in the Service, and why you believe it is illegal, together with your contact details. ArchieGuru will review such notices and take appropriate action.

4. Your content and license to operate the service

As between you and ArchieGuru, you retain ownership of the content you submit to the Service, including diagrams, prompts, chat messages, uploaded avatars, and other materials you provide.

You grant ArchieGuru a non-exclusive, worldwide, limited license to host, store, copy, transmit, display, and process your content only as necessary to operate, secure, maintain, support, and deliver the Service features you request, including sending relevant content to the service providers involved in that request.

You are responsible for ensuring that you have all rights needed to submit the content you upload or send through the Service.

ArchieGuru does not acquire ownership of your content under this license and does not use this license for unrelated advertising or for training ArchieGuru's own models.

This license terminates when you delete your content or your account, except for copies that reasonably remain in backups, logs, or records that ArchieGuru is required or permitted to retain under the Privacy Policy or applicable law.

5. AI features and output disclaimer

The Service includes AI-assisted features. By using them, you instruct ArchieGuru to send the request content needed to generate your response to a third-party AI model provider.

AI output is provided for informational and educational purposes only. It may be incomplete, inaccurate, or inappropriate for your use case. ArchieGuru does not guarantee that AI output is correct, safe, available, or suitable for professional, legal, security, or production decisions.

ArchieGuru is not a provider of legal, security, financial, or other regulated professional advice, and AI output should not be treated as a substitute for qualified human review.

6. Paid plans, Arcs, and subscriptions

ArchieGuru may offer free Arcs, one-time Arc packs, subscriptions, or other paid features. Pricing, included Arcs, and feature scope are shown in the Service or checkout flow at the time of purchase.

  • Arcs are limited-use digital service units inside ArchieGuru only.
  • Arcs have no cash value, are non-transferable, and may not be resold. They are not bank deposits, stored monetary value, or a general-purpose payment instrument.
  • Unless ArchieGuru states otherwise at the time of purchase, purchased Arcs added to your account, including one-time Arcs and recurring subscription Arc allocations, do not expire while your account remains available.
  • Subscription Arcs accumulate in your balance and are not reset at the end of a billing period.
  • Subscription plans may include other recurring benefits as described in the purchase flow then in effect.
  • Promotional or bonus Arcs may be modified, limited, or withdrawn or may expire according to the promotion terms shown at the time of the promotion.

If a payment is reversed, disputed, refunded, or charged back, ArchieGuru may remove associated Arcs, suspend access to paid features, or recover improperly granted benefits to the extent permitted by law.

Service discontinuation. If ArchieGuru decides to discontinue the Service or a paid feature that is required to use Arcs, ArchieGuru will provide reasonable advance notice through the email address associated with your account, a prominent in-product notice, or both, and will either (a) give you a reasonable opportunity to use remaining purchased Arcs before the Service or affected feature is shut down, or (b) where mandatory consumer law requires it, refund the unused value of purchased Arcs that you cannot reasonably use within that period. This section does not apply to promotional or bonus Arcs.

7. Renewals, cancellation, and refunds

Subscription plans renew automatically until canceled. You may cancel a subscription at any time from your account settings so that it will not renew for the next billing period. Canceling stops future renewals only. Arcs already added to your balance remain available under Section 6 while your account remains available. Cancellation does not retroactively refund the current billing period.

Except where mandatory law requires otherwise or ArchieGuru states otherwise at the time of purchase, completed purchases are non-refundable. If mandatory law requires a refund or other remedy, ArchieGuru will honor that law.

Remedies may also be available where ArchieGuru or its payment processor confirms a duplicate charge, an erroneous billing event, or a failure to deliver the purchased Arcs or paid subscription benefits.

If you are a consumer in the EEA or another jurisdiction with similar rules for digital services, access to digital content or digital services may begin immediately after purchase. To the extent permitted by law, once such performance begins, any statutory withdrawal or refund right may be limited or lost.

If you delete your account, access to any remaining Arcs and subscription benefits ends with the account unless mandatory law requires another remedy.

8. Complaints procedure

If you believe the Service has been delivered in a way that does not conform to these Terms, applicable consumer law, or the statutory conformity rules for digital content and digital services (including those implementing Directive (EU) 2019/770), you can submit a complaint to [email protected]. Please include your account email, a description of the issue, the date it occurred, and any relevant transaction reference.

ArchieGuru will confirm receipt and respond to the complaint without undue delay, and in any event within 14 days of receipt where applicable consumer law requires a response within that period.

Your statutory rights as a consumer — including rights related to conformity of digital content and digital services, the right of withdrawal where it applies, and any other non-waivable rights under Polish and EU consumer law — continue to apply and are not limited by this procedure.

9. ArchieGuru intellectual property

ArchieGuru and its licensors own the Service, including software, branding, layouts, design elements, databases, and other protected materials, except for user content you submit.

Subject to these Terms, ArchieGuru grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.

10. Availability and changes

ArchieGuru may change, improve, suspend, or discontinue parts of the Service at any time. ArchieGuru does not guarantee uninterrupted availability, permanent feature continuity, or error-free operation.

ArchieGuru may make changes needed for security, legal compliance, infrastructure, fraud prevention, or product development.

In these Terms, a “material change” means a change that substantially reduces a paid feature, materially changes pricing or renewal terms, or materially changes user rights or obligations. Nothing in this section limits any non-waivable rights or remedies you may have under applicable consumer law.

11. Suspension and termination

ArchieGuru may suspend or terminate access to the Service if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or misuse the Service.

Where practicable, ArchieGuru will give notice and a reasonable opportunity to address the issue before suspension or termination. Immediate action may be taken without prior notice where necessary for security, fraud prevention, abuse prevention, legal compliance, or urgent operational reasons.

You may stop using the Service at any time. You may also delete your account using the in-product account deletion flow, subject to any legal retention rights or duties described in the Privacy Policy.

If ArchieGuru suspends or terminates your account for material breach of these Terms, misuse of the Service, fraud, abuse, or non-payment, ArchieGuru is not required to refund unused Arcs or pro-rate any current subscription period, except where non-waivable consumer law requires another remedy.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. ArchieGuru disclaims implied warranties, guarantees, and conditions, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted availability.

Nothing in these Terms excludes or limits a guarantee, warranty, or remedy that cannot lawfully be excluded under applicable consumer law.

13. Limitation of liability

To the maximum extent permitted by law, ArchieGuru will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities arising from or related to the Service.

To the maximum extent permitted by law, ArchieGuru's aggregate liability for claims arising out of or relating to the Service will not exceed the greater of: (a) the total amount you paid to ArchieGuru for the Service during the 12 months before the event giving rise to the claim, or (b) USD 100.

These limitations do not apply where liability cannot be limited or excluded under applicable law, including mandatory consumer protections.

In particular, nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or other liability that cannot lawfully be excluded or limited.

14. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of Poland.

Any dispute arising out of or in connection with these Terms or the Service should first be addressed through amicable negotiations between the parties.

If the dispute cannot be resolved through negotiations, it will be submitted to the competent court in Poland.

If mandatory consumer law gives you the right to rely on local law, local courts, or other non-waivable protections, those rights remain unaffected.

15. Indemnification

If you use the Service in a business or commercial capacity, then to the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless ArchieGuru and its affiliates, officers, and agents from and against third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your unlawful use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) content you submit through the Service in violation of law or another person's rights.

This indemnification obligation does not apply where prohibited by applicable consumer law.

16. Force majeure

ArchieGuru will not be liable for any delay or failure to perform its obligations under these Terms when the delay or failure results from causes beyond its reasonable control, including natural disasters, pandemics, acts of government, internet or infrastructure failures, cyberattacks, embargoes, labor disputes, or disruptions to third-party services on which ArchieGuru relies.

17. General provisions

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire agreement. These Terms, together with the Privacy Policy and any purchase terms presented at checkout, constitute the entire agreement between you and ArchieGuru regarding the Service and supersede all prior or contemporaneous understandings, communications, or agreements on the subject matter.

Assignment.You may not assign or transfer your rights or obligations under these Terms without ArchieGuru's prior written consent. ArchieGuru may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets, provided that the assignee agrees to be bound by these Terms.

No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.

Language. These Terms and the Privacy Policy are published in English, which is the authoritative version for interpretation. Where ArchieGuru provides translated versions for convenience, the English text prevails in case of conflict. Nothing in this clause limits mandatory rights of Polish or EU consumers to receive information and exercise rights in their own language as required by applicable law.

Waiver. The failure of ArchieGuru to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by ArchieGuru to be effective.

18. Changes to these terms

ArchieGuru may update these Terms from time to time. The updated Terms will be posted on this page with a revised “Last updated” date.

Non-material changes may take effect when posted. For material changes, ArchieGuru will provide notice through the email address associated with your account, a prominent in-product notice, or both. For material changes that adversely affect users on a paid plan, ArchieGuru will generally provide at least 30 days' advance notice where practicable before the changes take effect.

If you do not agree with a material change, you may stop using the Service and cancel your subscription before the change becomes effective. If applicable law requires ArchieGuru to obtain renewed acceptance for a change, ArchieGuru will request that acceptance in an appropriate way before the change applies to you.
